1. Acceptance
By accessing or using Modux, you agree to be bound by these Terms of Service. If you are accepting on behalf of a company, you represent that you have the authority to do so. If you do not agree, do not use the service.
2. Service Description
Modux provides a cloud-based AI workflow orchestration platform available on a subscription basis. Features and availability may vary by plan. We reserve the right to modify or discontinue features with reasonable notice.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.
4. Subscription & Billing
Subscriptions are billed monthly or annually in advance. All fees are in USD and are exclusive of applicable taxes. Prices may be updated with 30 days' written notice. Failure to pay may result in suspension of your account.
5. Refund Policy
Free Trial: No charges are applied during your free trial period. You may cancel at any time before the trial ends with no obligation.
- Monthly plans: We do not offer refunds for the current billing period. Upon cancellation, your access continues until the end of the paid period, after which it will not renew.
- Annual plans: You may request a full refund within 14 days of your initial purchase or annual renewal. After 14 days, no refunds are issued for the remaining term.
- Service credits: If Modux fails to meet its 99.9% monthly uptime SLA, you may be eligible for service credits as documented in our SLA policy. Credits are applied to your next invoice and are not redeemable for cash.
To request a refund, contact us at billing@modux.com with your account email and a brief reason. Refunds are processed within 5–10 business days to your original payment method.
6. Chargeback Policy
We take billing disputes seriously and are committed to resolving them fairly. Before initiating a chargeback with your bank or card issuer, please contact us first at billing@modux.com. Most billing issues can be resolved quickly and informally.
Initiating a chargeback without first contacting us may result in immediate account suspension pending investigation. We reserve the right to contest any chargeback we believe is unwarranted, including submitting transaction records, usage logs, and correspondence to your financial institution. Accounts with upheld fraudulent chargebacks may be permanently banned from the platform.
7. Acceptable Use
You may not use Modux to build pipelines that generate spam, conduct phishing or fraud, violate applicable laws, or infringe third-party intellectual property rights. We reserve the right to suspend or terminate accounts in violation of this policy without notice.
8. Intellectual Property
Modux and its underlying technology are owned by Modux, Inc. You retain all rights to your data and pipeline configurations. By using Modux, you grant us a limited, non-exclusive licence to process your data solely to deliver the service.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Modux's total liability to you for any claim arising out of or related to these Terms or the service is limited to the fees you paid in the three months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages.
10. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or conduct that we determine poses a risk to the platform or other users.
11. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in courts located in San Francisco, California.
